Welcome to iSonic.ai!

These Terms of Service ("Terms") govern your access to and use of our platform, products, and services. By using iSonic.ai, you agree to comply with these Terms. Please read them carefully, in particular Section 5, which governs how your content may be used, including the limited circumstances under which it could ever be licensed or sold to third parties.

1. Acceptance of Terms

By accessing or using iSonic.ai, you agree to be bound by these Terms, our Privacy Policy, and any other applicable policies. If you do not agree, you may not use our platform.

2. Definitions

• "we," "us," and "our" refer to iSonic.ai.
• "you" and "user" refer to anyone accessing or using iSonic.ai.
• "content" includes all text, images, links, audio, video, or other data ingested, displayed, or shared through iSonic.ai.
• "Structured Expert Manifest" refers to the machine-readable, architected version of your content created by iSonic for AI ingestion and discoverability.
• "Extended Use" refers to any use of your content beyond powering your own iSonic presence — including third-party licensing, sale of access to your content, or use in training AI models other than for the purpose of making your own content discoverable and attributable to you. Extended Use is opt-in only, as described in Section 5.1.

3. Eligibility

You must be at least 18 years old to use iSonic.ai. By using the platform, you represent that you meet this requirement and have the authority to agree to these Terms.

4. Use of the Service

4.1 Permitted Use

You may use iSonic.ai to:

• Enhance engagement between your audience and your content.
• Increase affiliate and licensing revenue.
• Optimize your intellectual estate for Generative Engine Optimization (GEO).

4.2 Prohibited Use

You agree not to:

• Use iSonic.ai for unlawful purposes.
• Upload or share harmful, offensive, or infringing content.
• Interfere with the platform's functionality or security.
• Reverse-engineer, copy, or replicate the platform's proprietary architecture.

5. User Content

5.1 Ownership and Licensing

You retain ownership of the content you provide to iSonic.ai. By submitting, linking to, or otherwise making your content available through the Service, you grant iSonic.ai a non-exclusive, worldwide, royalty-free license to:

• Internal Processing: Process, analyze, display, and reproduce your content within your iSonic.ai chatbot experience and platform dashboard.
• Discoverability Structuring: Create and maintain a Structured Expert Manifest of your content for the purpose of making it discoverable, parseable, and accurately attributable to you across search engines and AI assistants (including but not limited to Google, ChatGPT, Perplexity, Anthropic, and Google/Gemini), strictly for the purpose of directing traffic, citations, and users back to you and your iSonic creator page.
• No Current Sale or Third-Party Training Use: iSonic does not currently sell, license, or otherwise provide your content to third parties for their own AI model training or other commercial purposes, and does not currently use your content to train AI models other than as needed to power your own iSonic chatbot experience and discoverability features described above.
• Future Extended Use Is Opt-In Only: If iSonic introduces the ability to license, sell, or otherwise provide creator content to third parties (including for third-party AI model training) at any point in the future, participation will require your affirmative, informed opt-in consent. You will not be enrolled in any such Extended Use by default, and continued use of iSonic.ai does not itself constitute consent to Extended Use. Creators who opt in to any future Extended Use will be eligible for compensation under terms to be defined and disclosed at the time that option is introduced, in a separate agreement or amendment presented to you for your explicit acceptance.

Purpose and Attribution

Discoverability Structuring under this Section 5.1 is specifically designed to:

• Facilitate Traffic: Direct AI-driven traffic, citations, and users back to your original content and iSonic.ai creator pages.
• Ensure Authority: Establish your content as a "Verified Source" within third-party AI ecosystems to prevent unauthorized or uncredited scraping.
• Mandatory Attribution: iSonic.ai shall use commercially reasonable efforts to ensure that any AI system referencing your content maintains clear attribution to you as the Creator, including direct links to your source content or purchase points where technically supported by the third-party interface.

Withdrawing Consent: If you do not wish for your content to be used even for the Discoverability Structuring described in this Section, you may opt out by contacting us at help@isonic.ai. Opting out will significantly limit your visibility in AI search results and the overall performance of the Service, and iSonic.ai does not guarantee any particular level of traffic, discovery, or engagement for creators who opt out.

5.2 Responsibility

You are solely responsible for the accuracy, legality, and quality of the content you upload or link. You represent and warrant that you own or have the necessary rights to grant the licenses described in Section 5.1.

5.3 Review of AI-Generated Messages

You acknowledge that messages or responses generated by iSonic.ai may not always be accurate. You are solely responsible for reviewing, monitoring, and approving any AI-generated communications delivered through the platform. iSonic.ai disclaims liability for claims or damages arising from AI-generated responses.

6. Affiliate Links, Revenue, and Licensing

6.1 Affiliate Link Integration

You may connect your own existing affiliate links to your iSonic.ai profile. Where a user's interaction with your content results in a sale through a link you have provided, you are entitled to 100% of the resulting affiliate commission, subject to the terms of the applicable third-party affiliate program. iSonic.ai does not take a percentage of revenue generated through affiliate links you connect yourself.

iSonic.ai separately integrates sponsored links from brands participating in iSonic's network into chatbot interactions synthesized from your content. Sponsored links are distinct from, and will not be presented in place of, the affiliate links you have connected yourself.

6.2 Extended Use Revenue (Future)

As described in Section 5.1, iSonic.ai does not currently license or sell creator content to third parties. If this changes in the future, any such Extended Use will be opt-in only, and creators who opt in will be eligible for compensation under terms to be defined and separately disclosed at that time. No creator will be enrolled in, or owed or denied compensation under, an Extended Use program that does not yet exist.

7. Fees and Payments

7.1 Pricing

Use of iSonic.ai does not require a subscription.

8. Intellectual Property

8.1 Ownership

All intellectual property in the iSonic.ai platform (software, Structured Expert Manifest architecture, trademarks) belongs to us or our licensors.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to use iSonic.ai in accordance with these Terms.

9. Privacy

Your use is governed by our Privacy Policy, which explains how we protect your data.

10. Disclaimer of Warranties

iSonic.ai is provided on an "as-is" basis. While we strive for 100% uptime, we will inform you via your dashboard and email regarding any significant outages or service disruptions so you can take necessary action with your audience.

11. Limitation of Liability

To the fullest extent permitted by law, iSonic.ai will not be liable for any indirect, incidental, or consequential damages arising from your use of the platform.

12. Termination

12.1 By You

You may terminate at any time by closing your account. All associated data will be deleted, provided that iSonic.ai may retain aggregated or de-identified data that does not identify you, to the extent required for legitimate business or legal purposes.

12.2 By Us

We reserve the right to suspend or terminate access if you violate these Terms or engage in prohibited conduct.

13. Modifications to Terms

We may update these Terms periodically. Continued use after changes indicates acceptance. Material changes to Section 5 or 6 — including any introduction of Extended Use — will be communicated to you directly via email or dashboard notice, and, per Section 5.1, will always require your separate, affirmative opt-in rather than taking effect automatically.

14. Governing Law

These Terms are governed by the laws of California. Any disputes will be resolved in the courts of California.
